  • Equitised SOEs: Advising bidders in due diligence works over Vietcombank and PV Gas; Advising Avenue Capital in equity investment in Vinaconex’s two water subsidiaries;
  • M&A: Advising KKR, IFC and other investors in equity and convertible loans to Masan; Advising BNP Paribas and SMBC in equity investments in Vietnamese banks (OCB and Eximbank); Advising foreign investors in foods and consumer goods (including foods & beverage, confectionery, home appliances);
  • Capital market: Singapore listed convertible bonds issued by Vincom (US$100 million); Convertible loans to Masan and Vincom; Singapore listed straight bonds issued by HAGL (US$90 million); Secondary listing in Singapore by a Vietnamese company; DR listing in Singapore; International bonds proposed to be issued by Vinacomin; VND bonds arranged by Citi, ANZ, Barclays;
  • Financing: Advising Citi in relation to US$450 million loan to Nhon Trach 2 Power Project Company; Advising BNP Paribas and Natixis as co-arrangers for US$540 million to VNPT for the financing of telecommunication network expansion; ship finance and mortgage; coffee finance; MOF guaranteed loans;
  • Power: Phu My 2.2 BOT Gas Fired Power Project, Nghi Son 2 BOT Coal Fired Power Project, Vung Ang II BOT Coal Fired Power Project, Nhon Trach 2 Gas Fired Power Project and international lenders to various hydro power projects in Vietnam with a government guarantee;
  • Ports: Advising international lenders and sponsors in relation to project finance for three international container terminals developed by SPCT, CMIT and SP-PSA;
  • Property: Advising ECC in relation to the development of a shopping mall project in Vietnam; Advising a foreign shareholder in the largest casino project in Vietnam;
  • Corporate restructuring: Advising international companies in re-negotiating joint venture documents with Vietnamese companies in tobacco and mining businesses;
  • Petroleum & refinery: Advising some international petroleum companies in restructuring their projects in Vietnam (including de-merger, transfer of assets); Advising lenders to the first and largest refinery project in Vietnam;
  • Telecom: Advising telecommunication companies in negotiating BCCs in Vietnam;
  • Aviation: Acting for the lenders in relation to the financing and the first mortgage of two Fokker aircrafts in Vietnam; Acting for the lenders in relation to the finance leasing of ten Airbus aircrafts to VNA;
  • CDM: Advising various international investors in relation to due diligence and purchase of CERs from Vietnam projects;
  • Enforcement of property rights: Acting for some international companies in relation to enforcement of property rights in Vietnam.
