VILAF’s Capital Markets Practice is jointly managed by the Finance Group and the Corporate Group and is a growing practice following Vietnam’s recent enactment of laws and regulations on bond transactions and on international listing of securities.
VILAF won the “Debt and Equity Linked Deal of the Year 2010” by IFLR for the Vincom deal described beblow.
VILAF had the opportunities to advise most of Vietnam’s landmark capital market transactions:

Advising Vincom in relation to the issue and listing of convertible bonds on the Singapore Stock Exchange, Vietnam’s first international bond transaction;

Advising Hoang Anh Gia Lai Group in the issue and listing of US$90 million bonds on the Singapore Stock Exchange, Vietnam’s first international straight bond transaction;

Acting for Citibank N.A. (as the arranger and book runner) in relation to the issue of bonds (by way of private placement) by Vietnam Coal and Mineral Group (Vinacomin) in an aggregate principal amount of VND1,500 billion;

Acting for Citibank N.A. and ANZ (as joint arrangers and book runners) in relation to the issue of bonds (by way of private placement) by Saigon Thuong Tin Commercial Bank (Sacombank) in an aggregate principal amount of VND2,000 billion; and

Acting for ANZ (as the arranger and book runner) in relation to the issue of bonds with warrants (the first of such nature in Vietnam) by FPT Corporation in an aggregate principal amount of VND1,800 billion;

Acting for VinaCapital for the Singapore listing of its hospitality investment portfolio; and

Acting for PetroVietnam Insurance Corporation (PVI) for new issue of shares and sale to a foreign strategic investor.
